Agreement to be Bound

The following terms and conditions govern the use of the Apeiron Labs Website (the “Site”). By accessing the Site you agree to comply with and be bound by this Terms of Use and all other policies posted on the Site, including, but not limited to the Privacy Policy (“User Policies”). If you do not agree to this Terms of Use or any other User Policies you must immediately terminate use of the Site.

Limited License

Subject to the terms and conditions set forth herein and all applicable local laws and regulations, Apeiron Labs grants you a non-exclusive, non-transferable, personal, limited right to access, use and display this Site and its contents for non-commercial, personal use. This license is not a transfer of title to the Site and materials contained herein, and is subject to the following restrictions: (1) you must retain, on all copies of the Site and its contents, all copyright and other proprietary notices; and (2) you may not modify the Site or its contents in any way or reproduce or publicly display, perform or distribute or otherwise use the Site and its contents for any public or commercial purpose, without the express written consent of Apeiron Labs. By providing content on this Site, we DO NOT allow you to use our trademarks or the trademarks of any third party content providers. The trademarks, service marks and logos of Apeiron Labs, or third party content providers, that are used and displayed on our Site are the registered and unregistered trademarks of Apeiron Labs or the applicable third party content provider. Changes

All content contained herein is subject to change without notice. Apeiron Labs reserves the right to change or modify the terms and conditions applicable to the use of this Site at any time. Limitation Of Liability

Neither Apeiron Labs nor any of its subsidiaries, employees or other representatives shall be liable for damages arising out of or in connection with the use of this Site. Under no circumstances shall Apeiron Labs have any liability for any consequential, incidental, indirect, special or punitive damages or costs, including, but not limited to, lost profits, business interruption, loss of information or data, or loss of goodwill, loss of or damage to property, and any claims of third parties, arising out of or in connection with the use, copying or display of this site or its contents or any linked website, regardless of whether Apeiron Labs has been advised, knew or should have known of the possibility thereof.

Indemnity by Users

You agree to indemnify, defend and hold harmless Apeiron Labs, its officers, directors, employees, agents, licensors, suppliers and any third party content providers to us from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any negligence or misconduct by you in your use of the Site and/or any violation of this Agreement by you.

International Users; USA Jurisdiction of Site

This Site is maintained and controlled by Apeiron Labs in the State of Massachusetts, United States of America. Apeiron Labs makes no representation that materials on this Site are appropriate or available for use at other locations outside of the United States and access to this site from territories where this Site’s contents are illegal is prohibited. If you access this Site from locations outside the United States, you are solely responsible for compliance with all local laws.

Governing Law and Dispute Resolution

Any claims relating to our Site and its content and materials shall be governed by the laws of the State of Massachusetts without giving effect to any principles of conflicts of laws. You agree that any legal action or proceeding between us for any purpose concerning this Agreement or the parties' obligations shall be brought exclusively in a federal or state court in Massachusetts.

Additional Terms

Our failure to insist upon or enforce strict performance of any provision of this Terms of Use shall not be construed as a waiver by us or any third party content provider of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Terms of Use. We may assign our rights and duties under this Terms of Use to any party at any time without notice to you.
